Terms of service

Welcome! Goodshop.com (this "Site"), which includes Goodshop, GoodSearch, SearchKibble, DogDog.org, CatCat.org and other related sites (each, a "Service" and, collectively, the "Services"), is owned and operated by GoodSearch, LLC ("GoodSearch", "we", "us" or "our"). Before using this Site or creating an account with Goodshop, please read these Terms of Service ("Terms" or "Agreement") carefully. By accessing or using the Site or any Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site or the Services.

BY USING THE SITE, YOU REPRESENT THAT YOU ARE AT LEAST EIGHTEEN (18) YEARS OLD AND THAT YOU ARE LEGALLY ABLE TO ENTER INTO THIS AGREEMENT. We may update or modify these Terms from time to time. If we make changes, we will provide notice by posting the updated Terms on the Site and updating the "Last Updated" date at the top of the Terms. Your continued use of the Services after updated Terms are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed about updates. Upon our request, you agree to sign a non-electronic version of these Terms. To the fullest extent permitted by law, we are not liable to you or any third-party for any modification, suspension, or discontinuation of the Services or any feature thereof, or for any change to fees or charges associated with the Services.

Notice Regarding Children Under 13

The Services are not directed to children under 13, and GoodSearch does not knowingly collect personal information from children under 13. If we learn that we have collected such information, we will delete it promptly.

Registration

When you set up an account and register to use the Services, you agree to (a) provide accurate, current and complete information about yourself as prompted by our registration form (including your email address), and (b) maintain and promptly update your information (including your email address) to keep it accurate, current and complete. You acknowledge that, if any information provided by you is untrue, inaccurate, not current or incomplete, we reserve the right to terminate or suspend your access to the Services. Our collection, use, and disclosure of your registration information are governed by our Privacy Policy.

Username and Password

As part of the account set-up and registration process, you may be asked to select a username and password. We may refuse to grant you a username for any reason in our sole discretion, including if the username impersonates someone else, is illegal, vulgar, or otherwise offensive, or is protected by trademark or other proprietary rights law, or otherwise may cause confusion. You are solely responsible for the confidentiality and use of your username and password and agree not to transfer, share, or resell your use of or access to the Service to any third-party. YOU ARE ENTIRELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR USERNAME AND PASSWORD AND FOR ANY AND ALL ACTIVITIES (INCLUDING PURCHASES, AS APPLICABLE) THAT ARE CONDUCTED THROUGH YOUR ACCOUNT. If you believe your account credentials have been compromised, you must notify us immediately.

Participation by Nonprofits

GoodSearch may, at its discretion, allow nonprofit organizations ("Causes") to be listed or featured on the Site. GoodSearch may remove, suspend, or modify any listing at any time for any reason. If GoodSearch notifies you that your listing has been removed or your participation has ended, you must promptly remove any Goodshop branding, logos, or links from your website or materials.

Payment to Causes

GoodSearch may donate a portion of its annual profits, at its sole discretion, to nonprofit organizations selected by its ownership. User activity on the Site does not generate payments or earnings for any Cause, and GoodSearch does not guarantee that any particular organization will receive donations.

These donations are made solely as part of GoodSearch's corporate giving program and are not directed by users.

GoodSearch does not guarantee that any Cause will receive donations or financial support, regardless of whether it is listed on the Site.

Donations made by GoodSearch are not tax-deductible contributions on behalf of any user, and users do not receive tax receipts or attribution for donations made by GoodSearch.

Goodshop is a Platform Only

The Services operate solely as an administrative and informational platform. GoodSearch is not a broker, agent, financial institution, creditor, insurer, or fiduciary for any user or organization. GoodSearch does not control or endorse any user conduct, content, or information provided through the Services and disclaims all responsibility and liability arising from such conduct, content, or information. You acknowledge that GoodSearch has no obligation to oversee or monitor interactions between users or between users and Causes.

Content and User conduct

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not GoodSearch, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Services. GoodSearch does not control the Content posted by users on the Services and does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Services, you may be exposed to Content that is offensive, indecent, objectionable, or unlawful. GoodSearch is not liable for any Content or for any loss or damage resulting from your use of any Content made available through the Services.

The following activities and types of Content are prohibited. This list is illustrative and not exhaustive. GoodSearch may investigate violations and take any action it deems appropriate, including removing Content, suspending or terminating accounts, or reporting activity to authorities. You agree not to use the Services to:

  • transmit or upload any Content that:
    • infringes any intellectual property or other property rights of any party;
    • you lack permission to upload;
    • contains malicious code or software designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
    • poses or creates a privacy or security risk;
    • constitutes unsolicited advertising, spam or other prohibited solicitation;
    • harm minors in any way;
    • is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially or ethnically objectionable; or
    • in the sole judgment of GoodSearch, is otherwise objectionable or which restricts or inhibits any other person from using or enjoying the Services, or which may expose GoodSearch or its users to any harm or liability of any type.
  • interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Services;
  • harvest or collect user information without consent;
  • impersonate any person or entity, including, but not limited to, a Goodshop official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  • forge headers or otherwise manipulate identifiers;
  • violate any applicable law;
  • provide material support to terrorist organizations;
  • engage in unlawful solicitation activities.
  • You may not use the Services or any Services Content to train, fine-tune, develop, or improve any artificial intelligence systems, machine learning models, algorithms, or datasets. You may not engage in probing, scanning, penetration testing, or any activity intended to bypass, interfere with, or defeat security measures, authentication systems, or rate limits used by the Services.

GoodSearch may, but is not obligated to, pre-screen or monitor Content. GoodSearch may remove or refuse any Content that violates these Terms or is otherwise objectionable. You are solely responsible for evaluating and bearing all risks associated with the use of any Content.

GoodSearch may access, preserve, and disclose account information or Content as required by law or as reasonably necessary to: (i) comply with legal process; (ii) enforce these Terms; (iii) respond to rights-violation claims; (iv) respond to customer-service requests; or (v) protect the rights, property, or safety of GoodSearch, users, or the public.

You understand that the Services and software embodied within the Services may include security components that permit digital materials to be protected, and that use of these materials is subject to usage rules set by GoodSearch and/or content providers who provide content to the Services. You may not attempt to circumvent or interfere with security or digital-rights-management components. Any unauthorized reproduction, publication, further distribution or public exhibition of the materials provided on the Services, in whole or in part, is strictly prohibited.

GoodSearch does not claim ownership of user-submitted Content, but Content submitted to publicly accessible areas is licensed to GoodSearch for operation and promotion of the Services until removed.

Content Linked to by Goodshop

The sites displayed as search results or linked to by the Goodshop Services are developed by third parties over whom GoodSearch exercises no control. The search results that appear from Goodshop's search engine partner's indices are indexed by our search engine partner's automated machinery and computers, and GoodSearch does not review or screen the sites before including them in the indices from which such automated search results are gathered. A search using the Goodshop service may produce search results and links to sites that some people find objectionable, inappropriate, offensive, or inaccurate. GoodSearch is not responsible for the content, availability, accuracy, safety, or legality of any third-party site included in search results or otherwise linked to through the Services.

You may not reproduce, reformat, frame, mirror, or display the Goodshop home page or results pages on your Web site. You may not "meta-search" Goodshop. If you are interested in adding an authorized Goodshop search box to your web site, please contact us.

You shall not, and may not authorize or encourage any third-party to, generate automated, fraudulent, deceptive, or otherwise invalid queries, impressions, or clicks on search results, links, or advertisements, including through repeated manual actions, robots, automated scripts, or unauthorized optimization tools or software.

Earning Rewards

GoodSearch does not currently offer user rewards, bonuses, or incentive programs. If GoodSearch introduces such programs in the future, applicable terms will be provided at the time of the offer.

Dealings with Advertisers

Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Services, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and the advertiser or third-party. GoodSearch does not endorse, guarantee, or assume responsibility for any advertiser's content, products, or services. You agree that GoodSearch is not responsible or liable for any loss, damage, or dispute arising from such dealings or from the presence of advertisers or third-party content on the Services.

Affiliate Relationships and Partner Revenue

Some links, advertisements, or promotions on the Services may result in GoodSearch receiving affiliate commissions, referral fees, or other forms of compensation from third parties. Such compensation does not influence the information or search results provided through the Services. GoodSearch does not endorse, guarantee, or assume responsibility for any third-party products, services, or offers.

Third-Party Websites, Software and Services

The Services may direct you to websites, applications, software, or services owned or operated by third parties ("Third-Party Properties"). GoodSearch does not control, review, endorse, or approve any Third-Party Properties. We are not responsible or liable for (a) the content, operation, availability, accuracy, or security of such Third-Party Properties, or (b) the privacy or other practices of such Third-Party Properties. Links to Third-Party Properties are provided solely for convenience and do not constitute approval or endorsement. You are responsible for the costs associated with accessing or using Third-Party Properties, including any applicable license fees and service charges. We encourage you to review the applicable terms of use, privacy policies, and practices of any Third-Party Properties you choose to access. Other web sites may provide links to the Service with or without our authorization. We do not endorse such sites and are not and shall not be responsible or liable for any links from those sites to the Service, any content, advertising, products or other materials available on or through such other sites, or any loss or damages incurred in connection therewith.

YOU AGREE THAT YOUR USE OF THIRD-PARTY WEB SITES AND RESOURCES, INCLUDING WITHOUT LIMITATION, YOUR USE OF ANY CONTENT, INFORMATION, DATA, ADVERTISING, PRODUCTS, OR OTHER MATERIALS ON OR AVAILABLE THROUGH SUCH WEB SITES AND RESOURCES, IS AT YOUR OWN RISK AND IS SUBJECT TO THE TERMS AND CONDITIONS OF USE APPLICABLE TO SUCH SITES AND RESOURCES.

We reserve the right, at any time and in our sole discretion, to block links to the Service through technological or other means without prior notice.

Privacy Policy

Your use of the Services is also subject to the Goodshop Privacy Policy, which explains how we collect, use, and disclose information about you. The Privacy Policy is incorporated into these Terms by reference. You may review the current version of the Privacy Policy at the link provided on the Site.

California Consumer Rights

If you are a California resident, you may have additional rights under the California Consumer Privacy Act ("CCPA") and the California Privacy Rights Act ("CPRA"). These rights, including the rights to access, delete, or correct personal information, and to opt out of certain data practices, are described in the Goodshop Privacy Policy. Your rights and our obligations under California law are governed solely by the Privacy Policy, which is incorporated into these Terms by reference.

Cookies and Tracking Technologies

The Services may use cookies, web beacons, pixels, local storage, and other tracking technologies to collect information about your interactions with the Services. These technologies help us operate, improve, and personalize the Services. For more information about our use of tracking technologies and your choices, please refer to the Goodshop Privacy Policy.

Intellectual Property Rights

You acknowledge and agree that the Services do contain content or features ("Services Content") that are protected by copyright, patent, trademark, trade secret or other proprietary rights and laws. Except as expressly authorized by GoodSearch, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute or create derivative works based on the Services or the Services Content, in whole or in part, except that the foregoing does not apply to your own User Content (as defined below) that you legally upload to the Services. In connection with your use of the Services you will not engage in or use any data mining, robots, scraping or similar data gathering or extraction methods. You may not use crawlers, spiders, automated tools, or any automated means to access or collect data from the Services. If you are blocked by GoodSearch from accessing the Services (including by blocking your IP address), you agree not to implement any measures to circumvent such blocking. This includes masking your IP address, using VPNs, rotating proxies, or creating replacement accounts. Any use of the Services or the Services Content other than as specifically authorized herein is strictly prohibited.

AI and Automated Access Restrictions

You may not access, copy, collect, store, distribute, or use any portion of the Services or Services Content through automated means, including without limitation bots, crawlers, scrapers, spiders, artificial intelligence (AI) systems, machine learning models, large language models (LLMs), or similar technologies, without GoodSearch's express written permission. You may not use the Services or Services Content to train, fine-tune, test, develop, or improve any AI models or datasets. Unauthorized automated or AI-driven access is strictly prohibited and may result in termination or legal action.

Although GoodSearch does not install or require you to install any software to access the Services, we may make available certain software applications (e.g., browser plug-in extension) to assist you in using the Services ("Applications"). The software underlying the Services (the "Underlying Software") and the Applications distributed in connection therewith are the property of GoodSearch, our affiliates and our partners. If you download any Application (from this Site or any authorized third-party), you agree to use it only for your personal use and for accessing the Services, and you acknowledge that we reserve the right to update or discontinue such Application at any time. You further agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Underlying Software or Applications. The Underlying Software and Applications may not be exported or re-exported into any country in violation of U.S. law. All rights to the Underlying Software and Applications not expressly granted herein are reserved by GoodSearch.

Mobile Application License

If you download or use any Goodshop mobile application ("App"), GoodSearch grants you a limited, revocable, non-exclusive, non-transferable license to install and use the App on a device that you own or control, solely for your personal use and in accordance with these Terms and the usage rules set forth in the Apple App Store Terms of Service or Google Play Terms of Service, as applicable. Apple, Google, and their subsidiaries are not responsible for providing support for the App and are not liable for any claims related to the App, including product liability claims, regulatory claims, consumer protection claims, or claims arising under intellectual property laws. You acknowledge that Apple and Google are third-party beneficiaries of these Terms with respect to the App and may enforce these Terms against you.

The Goodshop name and logo are trademarks and service marks of GoodSearch (collectively the "Goodshop Trademarks"). Other company, product, and service names and logos used and displayed via the Services may be trademarks or service marks of their respective owners. Except as expressly provided herein, nothing in this Agreement or the Services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of Goodshop Trademarks displayed on the Services, without our prior written permission in each instance. All goodwill generated from the use of Goodshop Trademarks will inure to our exclusive benefit.

With respect to the content, photos, images, trademarks, logos, brands or other materials you upload or post through the Services or share with other users or recipients (collectively, "User Content"), you represent and warrant that you own all right, title and interest in and to, or otherwise have all necessary rights and consents to (and to allow others to) fully exploit, such User Content, including, without limitation, as it concerns all copyrights, trademark rights and rights of publicity or privacy related thereto. By uploading any User Content you hereby grant GoodSearch and its affiliated companies a nonexclusive, worldwide, perpetual, irrevocable, royalty free, fully paid up, transferable, sublicensable, license to copy, display, upload, perform, distribute, store, modify and otherwise use your User Content in connection with the operation and promotion of the Services. Without limiting the foregoing, if any User Content contains your name, image or likeness, you hereby release and hold harmless GoodSearch and its contractors and employees, from (i) all claims for invasion of privacy, publicity or libel, (ii) any liability or other claims by virtue of any blurring, distortion, alteration, optical illusion, or other use or exploitation of your name, image or likeness, and (iii) any liability for claims made by you (or any successor to any claim you might bring) in connection with your User Content, name, image or likeness. You waive any right to inspect or approve any intermediary version(s) or finished version(s) of the results of the use of your User Content (including your name, image or likeness). Further, if any person (other than you) appears in your User Content, you represent and warrant that you have secured all necessary licenses, waivers and releases from such person(s) for the benefit of GoodSearch in a manner fully consistent with the licenses, waivers and releases set forth above. You further acknowledge that your participation in the Services and submission of User Content is voluntary and that you will not receive financial compensation of any type associated with the licenses, waivers, and releases set forth herein (or our exploitation thereof), and that the sole consideration for subject matter of this agreement is the opportunity to use the Services.

GoodSearch is committed to protecting copyrights and expects users of the Service to do the same. The Digital Millennium Copyright Act of 1998 (the "DMCA") provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you believe in good faith that any material used or displayed on or through the Service infringes your copyright, you (or your agent) may send us a notice requesting that the material be removed, or access to it blocked. The notice must include the following information: (a) a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (b) identification of the copyrighted work claimed to have been infringed (or if multiple copyrighted works are covered by a single notification, a representative list of such works); (c) identification of the material that is claimed to be infringing or the subject of infringing activity, and information reasonably sufficient to allow us to locate the material on the Service; (d) the name, address, telephone number and email address (if available) of the complaining party; (e) a statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent or the law; and (f) a statement that the information in the notification is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. Export Controls

You may not use, export, re-export, or transfer any portion of the Services, Applications, or Underlying Software except as permitted under applicable United States laws and regulations, including U.S. export control and sanctions laws. You represent and warrant that you are not located in, under the control of, or a resident or national of any jurisdiction or entity prohibited by U.S. law.

Changes to the Services

GoodSearch may modify, update, suspend, or discontinue any part of the Services at any time, including the availability of any features, content, or databases. From time to time, GoodSearch may offer beta, experimental, or preview features. Such features are provided "AS IS," may contain bugs or errors, and may be modified or discontinued at any time without notice.

Indemnification

You agree to indemnify, defend and hold GoodSearch, our affiliates, distributors, partners, licensors, advertisers and sponsors, and our and their directors, officers, employees, consultants, agents and other representatives, harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys' fees) and other expenses that arise directly or indirectly out of or from (a) your breach of these Terms; (b) your User Content; and/or (c) your activities in connection with the Causes or Services (including, without limitation, any and all purchases). This indemnification also applies to any claims arising from your misuse of the Services, your interactions with advertisers or third parties, or your violation of laws, regulations, or third-party rights. GoodSearch may assume exclusive control of the defense of any matter subject to indemnification, and you agree to cooperate in such defense.

No Professional Advice

Information made available through the Services, including search results, summaries, articles, or links, is provided for general informational purposes only and does not constitute legal, financial, medical, or other professional advice. You should not rely on any such information as a substitute for advice from qualified professionals.

Disclaimer of Warranties

THE SERVICES, INCLUDING ALL FEATURES, CONTENT, SOFTWARE, APPLICATIONS, AND DATA, ARE PROVIDED "AS IS" AND "AS AVAILABLE." GOODSEARCH AND ITS LICENSORS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GOODSEARCH AND ITS LICENSORS DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT DEFECTS WILL BE CORRECTED. GOODSEARCH AND ITS LICENSORS MAKE NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, TIMELINESS, OR QUALITY OF THE SERVICES OR ANY INFORMATION, ADVICE, GOODS, OR SERVICES OBTAINED THROUGH OR ADVERTISED ON THE SERVICES OR THROUGH ANY LINKS PROVIDED BY THE SERVICES.

YOU UNDERSTAND AND AGREE THAT YOU DOWNLOAD OR OTHERWISE OBTAIN MATERIAL OR DATA THROUGH THE USE OF THE SERVICES AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL OR DATA. SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE AND JURISDICTION TO JURISDICTION.

Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL GOODSEARCH OR ITS AFFILIATES, PARTNERS, ADVERTISERS OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES, WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, (EVEN IF GOODSEARCH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODSEARCH AND ITS AFFILIATES, PARTNERS, ADVERTISERS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THIS LIMITATION APPLIES TO ALL CLAIMS ARISING OUT OF OR RELATING TO YOUR USE OR INABILITY TO USE THE SERVICES; ANY INTERRUPTION, MODIFICATION, OR TERMINATION OF THE SERVICES; ANY GOODS OR SERVICES RECEIVED THROUGH THE SERVICES; ANY LINKS PROVIDED THROUGH THE SERVICES; ANY INFORMATION OR ADVICE RECEIVED THROUGH THE SERVICES; ANY LOSS OF DATA OR PROFITS; OR THE COST OF PROCURING SUBSTITUTE GOODS OR SERVICES. IN NO EVENT SHALL THE TOTAL LIABILITY OF GOODSEARCH AND ITS AFFILIATES, PARTNERS, ADVERTISERS, AND LICENSORS EXCEED THE GREATER OF FIFTY DOLLARS ($50.00) OR THE AMOUNT YOU PAID, IF ANY, TO USE THE SERVICES IN THE SIX MONTHS PRECEDING THE CLAIM.

SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU. Without limiting the foregoing, GoodSearch and its affiliates, partners, advertisers, and licensors shall not be liable for delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air conditioning.

Policy for Idea Submission

Any feedback, suggestions, ideas, or proposals you submit to GoodSearch ("Feedback") are non-confidential and become the sole property of GoodSearch. By submitting Feedback, you assign to GoodSearch all intellectual property rights in the Feedback, and GoodSearch may use the Feedback without restriction or compensation. If you do not wish to assign your rights, do not submit Feedback to us.

Jurisdictional Issues

The Services are controlled and operated by GoodSearch from the United States, and are not intended to subject GoodSearch to the laws or jurisdiction of any state, country or territory other than the United States. GoodSearch does not represent or warrant that the Services or any part thereof are appropriate or available for use in any particular jurisdiction. If you choose to access the Services from outside the United States, you do so on your own initiative and at your own risk and are responsible for complying with all applicable local laws and regulations. We may limit the Services' availability, in whole or in part, to any person, geographic area or jurisdiction we choose, at any time and in our sole discretion. Access to the Services where such access is illegal or restricted is prohibited.

Term and Termination

These Terms shall remain effective until terminated as set forth herein. We may, in our sole discretion, immediately terminate these Terms, and/or your access to and use of the Services or any portion thereof, at any time and for any reason, including if we believe that you have violated or acted inconsistently with the letter or spirit of these Terms. GoodSearch may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason or no reason, including violations of these Terms or conduct that may harm GoodSearch or other users. Upon termination of these Terms, your right to access and/or use the Services will immediately cease. You agree that termination may occur without prior notice and that GoodSearch may immediately deactivate or delete your account, username, password, and any related information, files, or User Content, and may bar further access to such data. You agree that we shall not be liable to you or any third-party for any termination and GoodSearch is not obligated to maintain, store, or provide access to any information following termination.

Dispute Resolution and Arbitration

In the interest of resolving disputes between you and GoodSearch (or GoodSearch's affiliates, as applicable) you and GoodSearch agree that any and all disputes arising in connection with these Terms will be resolved by binding arbitration. Arbitration is more informal than litigation and uses a neutral arbitrator instead of a judge or jury. The arbitrator may award the same relief that a court could award. Our agreement to arbitrate disputes includes all claims arising out of or relating to any aspect of these Terms, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, and regardless of whether the claims arise during or after the termination of these Terms. You understand and agree that, by entering into these Terms, you and GoodSearch are each waiving the right to a trial by jury or to participate in a class action.

Notwithstanding the foregoing, nothing in this section prevents either party from (i) bringing an individual action in small claims court, (ii) pursuing enforcement actions through applicable federal, state, or local agencies where such actions are available, (iii) seeking injunctive relief in a court of law, or (iv) filing suit in a court of law to address intellectual property infringement claims.

Any arbitration between you and GoodSearch will be governed by the AAA's Commercial Dispute Resolution Procedures ("AAA Rules"), as modified by these Terms, and will be administered by the AAA. The AAA Rules and filing forms are available online at www.adr.org, by calling the AAA at 1-800-778-7879, or by contacting GoodSearch.

A party who intends to seek arbitration must first send a written notice of the dispute to the other, by certified mail or Federal Express (signature required), or if we do not have a physical address on file for you, by electronic mail ("Notice"). The Notice must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought (the "Demand"). The parties will attempt in good faith to resolve the dispute within 30 days. If not resolved, either party may commence arbitration. During the arbitration, the amount of any settlement offer made by you or GoodSearch (or GoodSearch's affiliates, as applicable) shall not be disclosed to the arbitrator until after the arbitrator makes a final decision and award, if any; provided that if our dispute is finally resolved through arbitration in your favor, GoodSearch (or GoodSearch's affiliates, as applicable) shall pay you the greater of (i) the amount awarded by the arbitrator, if any, and (ii) the greatest amount offered by GoodSearch (or GoodSearch's affiliates, as applicable) in settlement of the dispute prior to the arbitrator's award.

In the event that you commence arbitration in accordance with these Terms, GoodSearch (or GoodSearch's affiliates, as applicable) will reimburse you for your payment of the filing fee, unless your claim is for greater than $10,000, in which case the payment of any fees shall be decided by the AAA Rules. Any arbitration hearings will take place in Los Angeles County, California, USA, provided that if the claim is for $10,000 or less, you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a non-appearance based telephonic hearing, or by an in-person hearing as established by the AAA Rules. The arbitrator may award fees and costs as permitted by the AAA Rules. YOU AND GOODSEARCH AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate claims.

If GoodSearch makes any future change to this arbitration provision (other than a change to the Notice address), you may reject it by sending us written notice within 30 days. Your account will be terminated upon rejection.

If the entirety of this section regarding dispute resolution and arbitration, or only the provision regarding class actions, is found to be unenforceable, then the entirety of this section shall be null and void and, in such case, the exclusive jurisdiction and venue described in the Governing Law section shall apply to any dispute arising out of or relating to these Terms.

Survival

The following provisions survive termination of these Terms and your use of the Services: Intellectual Property Rights; User Content; Indemnification; Disclaimers; Limitation of Liability; Dispute Resolution and Arbitration; and all other provisions which by their nature should survive.

Miscellaneous Provisions

These Terms are governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its principles of conflicts of law. Except as provided above, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, United States of America, and waive any jurisdictional, venue or inconvenient forum objections to such courts. If any provision of these Terms, or the application thereof to any person, place, or circumstance, is held by a court of competent jurisdiction to be invalid, void, or otherwise unenforceable, such provision will be enforced to the maximum extent possible, or, if incapable of such enforcement, will be deemed to be deleted from these Terms, and the remainder of these Terms and such provisions as applied to other persons, places and circumstances will remain in full force and effect. No waiver by either party of any breach or default hereunder will be deemed to be a waiver of any preceding or subsequent breach or default, nor will any delay or omission on the part of either party to exercise or avail itself of any right or remedy that it has or may have hereunder operate as a waiver of any right or remedy. This constitutes the entire agreement between us relating to the subject matter herein and supersedes any and all prior or contemporaneous written or oral agreements between us with respect to such subject matter. These Terms are not assignable, transferable, or sublicensable by you except with our prior written consent; GoodSearch may assign our rights and delegate our duties hereunder without your consent. These Terms may not be modified or amended except as set forth in the introductory section of these Terms. Any heading, caption or section title contained in these Terms is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof. Unless otherwise required by law, any action or proceeding by you to enforce an obligation, duty or right arising under these Terms of Service or by law involving the Services must be commenced no later than one (1) year after the cause of action accrues.
